Analytics SEO.com Terms of Service

Analytics SEO is a service of Dizzy Heights (UK) Limited ("Dizzy Heights"). By using the AnalyticsSEO.com web site ("Analytics SEO site") and any services accessible from the Analytics SEO site, you are agreeing to be bound by the following terms and conditions ("Terms of Service").

If you refuse to accept these terms and conditions, you will not be allowed to utilise or purchase any services from the Analytics SEO site.
 
Dizzy Heights reserves the right to update and change the Terms of Service without notice. Continued use of the Analytics SEO site after any such changes shall constitute your consent to such changes.
 
If a user violates any of the terms outlined below, Dizzy Heights reserve the right to cancel accounts, or bar access to accounts without notice.
 
Your Account
  1. You must be a human. Accounts registered by "bots" or other automated methods are not permitted.
  2. You must be 13 years of age or older.
  3. You must provide a valid email address, along with any other information required by Dizzy Heights during the registration process.
  4. You are responsible for maintaining the security of your account and password. Dizzy Heights will not be liable for any loss or damage from your failure to comply with this security obligation. Personally identifiable information submitted by you shall be subject to our Privacy Policy.
  5. One person or legal entity may not maintain more than one free trial account.
  6. Any free or trial accounts are limited to one per website.
  7. You may not use the Analytics SEO site for any illegal or unauthorized purpose. You must not, in the use of the Analytics SEO site, violate any laws in your jurisdiction (including but not limited to copyright laws).
 
Payment, Refunds, Upgrading and Downgrading
 
A valid credit card is required for all accounts. Free accounts are required to provide a credit card number but are not billed until the end of the trial period. The Analytics SEO site is billed in advance on a monthly basis in accordance with our pricing schedule and all monthly payments are non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
 
If the account is billed annually, and service is cancelled more than three (3) months prior to the end of the term, the account holder may be eligible for a partial refund. For each full month in excess of three (3) months left on the term, the account holder will receive a refund in full. For example, if the account holder cancels eight (8) months into the service, they would be eligible for a refund equal to one (1) month's payment. This is because all upfront annual payment plans include three (3) months free.
 
If you initially sign up for a free trial account, and you don't cancel that account within the specified trial period, you will be billed monthly starting on the day after the trial period expires. If you cancel prior to the processing of your first invoice you will not be charged.
 
An upgrade from any free trial plan to any paying plan will end your free trial. You will be billed for your first month or annually as the case may be immediately upon upgrading.
 
All fees are exclusive of all taxes, levies, or duties imposed by all relevant tax authorities, and you shall be responsible for payment of all such relevant taxes, levies and duties where applicable. You agree to pay for any such taxes that might be applicable to your use of the Analytics SEO site and payments made by you herein.
 
Violation of these Terms of Service
 
Dizzy Heights reserves the right to investigate and prosecute violations of any of these Terms of Service to the fullest extent of the law. Dizzy Heights may involve and cooperate with law enforcement authorities in prosecuting users who violate the Terms of Service. You acknowledge that Dizzy Heights has no obligation to pre-screen or monitor your access to or use of the Analytics SEO site or any information, materials or other content provided or made available through the Analytics SEO site, but has the right to do so. You hereby agree that Dizzy Heights may, in the exercise of Dizzy Heights' sole discretion, remove or delete any entries, information, materials or other content that violates these Terms of Service or that is otherwise objectionable.
 
Cancellation
 
You are solely responsible for properly cancelling your account. An email or phone request to cancel your account shall not result in cancellation. You can cancel your account at any time from your Account. The Account page provides a simple no questions asked cancellation link. Any cancellation of your Account will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. This information cannot be recovered from Dizzy Heights once your account is cancelled. Please be aware that Dizzy Heights may for a time retain residual information in our backup and/or archival copies of our database. We will make reasonable commercial efforts to delete your information as soon as possible after you communicate that intention to us.
 
Cancellations will take effect immediately. Upon the commencement of a new service period the Analytics SEO site will terminate without additional notice, and you will not be charged for any subsequent service periods. You will not be provided any refunds for unused time on your service period.
 
Termination
 
Dizzy Heights, in its sole discretion, has the right to suspend or terminate your Account if (1) you breach these Terms of Service or (2) your bandwidth usage significantly exceeds the average bandwidth of other users of the Analytics SEO site. In each such case Dizzy Heights may refuse to provide you any current or future use of the Analytics SEO site, or any other Dizzy Heights service. Any termination of your Account will result in the deactivation or deletion of your Account, denied access to your Account, and the forfeiture and relinquishment of all content in your Account. This information cannot be recovered from Dizzy Heights once your account is terminated; however Dizzy Heights may for a time retain residual information in our backup and/or archival copies of our database.
 
Modifications to the Analytics SEO site and Prices
 
Dizzy Heights reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Analytics SEO site (or any part thereof) with or without notice.
 
Prices of all Analytics SEO sites, including but not limited to monthly and yearly subscription plan fees to the Analytics SEO site, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Analytics SEO site or Analytics SEO blog.
 
Dizzy Heights shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Analytics SEO site.
 
Dizzy Heights reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Analytics SEO site, including the release of new tools and resources, shall be subject to the Terms of Service.
 
Copyright and Content Ownership
 
We claim no intellectual property rights over the material you provide to the Analytics SEO site. Your data profile remains yours.
 
Dizzy Heights does not pre-screen Content, but Dizzy Heights and its designee have the right (but not the obligation) in their sole discretion to refuse or remove any Content that is available via the Analytics SEO site.
 
The look and feel of the Analytics SEO site is © 2009 Dizzy Heights (UK) Limited. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS or visual design elements without express written permission from Dizzy Heights.
 
Indemnification
 
You agree to indemnify and hold Dizzy Heights (Analytics SEO), its parents, subsidiaries, affiliates, officers, partners and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Analytics SEO site, use of your account by any third party, the violation of the terms of use by you, or the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity.
 
Disclaimer
 
The Analytics SEO site and its contents are provided "as is" and "as available" without any warranty or representations of any kind, whether expressed or implied.
 
Dizzy Heights is a distributor and not a publisher of the content supplied by third parties; as such, Dizzy Heights exercises no editorial control over such content and makes no warranty or representation as to the accuracy, reliability or currency of any information, content, service or merchandise provided through or accessible via the site.
 
Dizzy Heights does not warrant that all tools, services, data and reports will be accessible 100% of the time, nor does it warrant that it will be able to continue to provide access to all tools, services, data and reports during the term. Some of the tools, services, data and reports are produced by accessing third party data sources and no warranty is expressed or implied that access to these services will be available in the future as such services may be withdrawn or modified at any time and without notice by such third parties.
 
Without limiting the foregoing, Dizzy Heights specifically disclaims all warranties and representations as the publisher of any content transmitted on or in connection with the site or on sites that may appear as links on the site, or as the manufacturer of the products provided as a part of, or otherwise in connection with, the site, including without limitation any warranties of merchantability, fitness for a particular purpose or noninfringement of third party rights. Jurisdiction
 
These Terms of Service will be governed by and construed in accordance with the laws of England and Wales. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by an authorized representative of Dizzy Heights.
